Terms of Service

These Terms govern access to Vyelix websites, apps, subscriptions, checkout, AI features, social tools, affiliate flows, and related services.

1. Acceptance Of These Terms

  • These Terms govern your access to and use of Vyelix websites, apps, checkout, subscriptions, AI features, social tools, affiliate flows, and related services.
  • By creating an account, checking out, connecting a social account, submitting information, or using Vyelix, you agree to these Terms and the Privacy Policy.
  • If you use Vyelix for a company, agency, client, or team, you represent that you have authority to bind that organization.
  • If you do not agree, do not use Vyelix.

2. Accounts And Security

  • You must provide accurate account information and keep it current.
  • You are responsible for safeguarding your password, sessions, devices, and connected accounts.
  • You must notify Vyelix promptly if you believe your account, payment method, social account, or login credentials were compromised.
  • Vyelix may require re-authentication, email confirmation, Turnstile verification, or other checks to protect the service.

3. Subscriptions, Billing, Taxes, And Cancellation

  • Paid subscriptions are processed by Stripe and may renew automatically until canceled.
  • You authorize Vyelix and Stripe to charge the payment method you provide for subscriptions, renewals, taxes, and permitted fees.
  • Plan prices, limits, and features may change prospectively. Changes will not reduce paid access already owed for the current billing period except where required for security, abuse prevention, law, provider limits, or discontinued third-party services.
  • You are responsible for taxes, payment accuracy, chargebacks, billing details, and cancellation before renewal.
  • Promotional codes may expire, be limited to one use, or be restricted by account, email, customer, plan, campaign, region, or abuse-prevention rules.
  • All sales are final. Except where required by law or expressly stated in writing by Vyelix, subscription fees, renewals, promotional purchases, and other paid charges are non-refundable once a billing period or paid access begins.

4. User Content And Your Responsibilities

  • You keep ownership of content you submit, including deal notes, contracts, briefs, messages, reports, captions, media URLs, social data, and profile information.
  • You grant Vyelix a limited license to host, process, transmit, display, analyze, secure, back up, and use your content as needed to provide and improve the service.
  • You represent that you have rights and permissions to upload, paste, connect, process, publish, schedule, or send the content you submit.
  • You are responsible for reviewing AI output, social posts, messages, reports, invoices, and contract summaries before using or sending them.
  • You must not submit content that is unlawful, infringing, deceptive, abusive, harassing, spam, malware, exploitative, or in violation of a platform policy.

5. AI Features Are Informational

  • AI outputs may be inaccurate, incomplete, outdated, biased, or unsuitable for your situation.
  • Deal pricing, negotiation, business, tax, and income suggestions are informational and are not financial, tax, accounting, or investment advice.
  • Contract analysis is educational and is not legal advice. For high-risk or binding agreements, consult a qualified attorney.
  • AI-generated messages and reports should be reviewed for accuracy, tone, legality, confidentiality, and brand obligations before use.
  • AI-generated email summaries and draft replies may be wrong and should be reviewed before copying, sending, or relying on them.
  • Vyelix does not guarantee brand deals, income, social performance, payment collection, legal outcomes, or acceptance of AI-generated terms.

6. Connected Services And Platform Rules

  • Social publishing, inbox sync, comments, account connection, and analytics may depend on Zernio and the social platforms you connect.
  • Connected email workflows may depend on Google APIs for Gmail and Microsoft Graph for Outlook/Microsoft 365, including email sync, draft creation, and approved reply sending where enabled. You are responsible for having the right to connect and process the inbox you authorize.
  • Payments depend on Stripe; authentication, database, and storage depend on Supabase; AI depends on OpenAI; newsletters may depend on Beehiiv; bot and rate-limit protections may depend on Cloudflare Turnstile and Upstash Redis; hosting depends on Vercel.
  • Third-party providers may change APIs, pricing, permissions, review processes, availability, data limits, or supported platforms.
  • You must comply with the terms, community rules, privacy requirements, advertising rules, disclosure rules, email provider rules, and content policies of connected services and platforms.
  • Vyelix is not responsible for third-party outages, API changes, account restrictions, takedowns, rejected posts, lost analytics, or platform decisions.

7. Acceptable Use

  • Do not access or attempt to access accounts, data, APIs, systems, or networks without authorization.
  • Do not bypass security, rate limits, Turnstile, billing controls, plan limits, origin checks, or access controls.
  • Do not scrape, crawl, overload, probe, scan, reverse engineer, exploit, or disrupt Vyelix or its providers.
  • Do not upload malware, executable payloads, credential material, secrets you do not have authority to process, or content designed to evade security controls.
  • Do not use Vyelix to send spam, phishing, deceptive outreach, unlawful marketing, or messages that violate social platform rules.
  • Do not use Vyelix for regulated high-risk decisions about employment, credit, housing, insurance, medical care, legal rights, or similar areas.

8. Privacy, Data Protection, And Compliance

  • The Privacy Policy explains how personal information is collected, used, disclosed, retained, and deleted.
  • You are responsible for giving legally required notices and obtaining legally required rights, consents, or permissions before uploading third-party personal information, contracts, messages, comments, or social data.
  • If you process personal information for clients, talent, brands, employees, contractors, or other third parties through Vyelix, you are responsible for your own privacy, employment, advertising, and data protection obligations.
  • Vyelix may suspend, limit, delete, or preserve information when needed for law, security, abuse prevention, investigations, chargebacks, disputes, or platform obligations.
  • Security controls are extensive, but no internet service can be guaranteed to be error-free, uninterrupted, or perfectly secure.

9. Intellectual Property

  • Vyelix, including its software, design, branding, workflows, prompts, templates, interfaces, and documentation, is owned by Vyelix or its licensors.
  • These Terms do not grant you ownership of Vyelix intellectual property.
  • You may use Vyelix only as permitted by these Terms and your subscription.
  • Feedback or suggestions you provide may be used by Vyelix without restriction or compensation.

10. Availability, Changes, And Beta Features

  • Vyelix may change, suspend, remove, or add features at any time.
  • Some features may be beta, experimental, or dependent on third-party review and may be less reliable.
  • Vyelix may perform maintenance, deploy updates, or temporarily restrict access for security, compliance, provider changes, or operational reasons.
  • Vyelix may impose or change reasonable limits for storage, AI usage, social accounts, posts, reports, API calls, or rate limits.

11. Termination And Suspension

  • You may stop using Vyelix or cancel your subscription according to the checkout or billing flow.
  • Vyelix may suspend or terminate access if you violate these Terms, create risk, fail to pay, violate provider terms, or use the service unlawfully or abusively.
  • After termination, some data may be deleted, exported, retained, or restricted according to the Privacy Policy, legal obligations, backups, disputes, security needs, and provider limitations.

12. Disclaimers

  • Vyelix is provided as is and as available.
  • To the maximum extent allowed by law, Vyelix disclaims warranties of merchantability, fitness for a particular purpose, title, non-infringement, uninterrupted operation, accuracy, availability, and security.
  • Vyelix does not warrant that AI output, contract summaries, rate suggestions, analytics, social publishing, reports, or payment workflows will be accurate, complete, or accepted by any third party.

13. Limitation Of Liability

  • To the maximum extent allowed by law, Vyelix will not be liable for indirect, incidental, consequential, special, exemplary, punitive, lost-profit, lost-revenue, lost-data, business-interruption, reputational, or platform-account damages.
  • To the maximum extent allowed by law, Vyelix's total liability for all claims relating to the service will not exceed the amounts you paid to Vyelix for the service during the three months before the event giving rise to the claim.
  • Some jurisdictions do not allow certain limitations, so some limitations may not apply to you.

14. Indemnity

  • You agree to defend, indemnify, and hold Vyelix harmless from claims, damages, liabilities, losses, and expenses arising from your content, your use of Vyelix, your violation of these Terms, your violation of law, your violation of third-party rights, or your violation of platform/provider rules.

15. Governing Law And Disputes

  • Unless required otherwise by applicable law, these Terms are governed by the laws of the State of Delaware, without regard to conflict-of-law rules.
  • Before filing a formal claim, you agree to contact us and try to resolve the dispute informally.
  • Nothing in these Terms limits non-waivable consumer rights that apply in your jurisdiction.

16. Changes To These Terms

  • Vyelix may update these Terms when the product, providers, laws, security practices, or business terms change.
  • Material changes will be reflected by updating the date and, where appropriate, additional notice in the app or by email.
  • Continued use after changes become effective means you accept the updated Terms.
